These Terms of Use ("Terms") are a contract between you and SimpleVidz ("we," "us," or "our"). They apply to simplevidz.com, our web dashboard, APIs, and the SimpleVidz iOS application (together, the "Service").

If you use the Service on behalf of a company or organization, you represent that you have authority to bind that entity, and "you" includes that entity.

SimpleVidz helps businesses record customer testimonial video, collect signed media releases, store content in the cloud, and publish or share clips. Features may differ between the free iOS app and paid subscriptions. We may add, change, or remove features over time.

You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account. Notify us promptly at hello@simplevidz.com if you suspect unauthorized access.

One account can be used on the web and linked to the iOS app. Team features allow multiple staff members to record into a shared workspace according to your plan limits.

You agree not to:

• Use the Service unlawfully or to infringe others' rights
• Upload content you do not have permission to use or distribute
• Collect signatures or personal data without appropriate notice and consent
• Attempt to probe, scan, or compromise the security of the Service
• Reverse engineer, resell, or scrape the Service except as allowed by law
• Interfere with other users or overload our infrastructure

We may suspend or terminate access if we reasonably believe you violated these Terms or pose a risk to the Service or other users.

You retain ownership of video, releases, signatures, and other material you upload or capture ("Customer Content"). You grant SimpleVidz a worldwide, non-exclusive license to host, store, reproduce, transcode, display, and distribute Customer Content solely to operate and improve the Service as you direct — for example, to stream a published testimonial or deliver a signed PDF.

You represent that you have all rights needed to upload Customer Content and to collect signatures and personal information from the people you film, and that your use complies with applicable law.

SimpleVidz provides customizable media release templates as a convenience. We do not provide legal advice, and templates may not fit every situation or jurisdiction. Have qualified counsel review your release before use. SimpleVidz is not responsible for the legal sufficiency of any release you send or sign through the Service.

Web subscriptions. Paid plans purchased on simplevidz.com are billed through Stripe on a recurring basis until canceled. Prices and features are shown at checkout and in your account settings. Taxes may apply.

Apple App Store subscriptions. Subscriptions purchased in the iOS app are billed by Apple under Apple's terms. Manage or cancel those subscriptions in your Apple Account settings. Refund requests for App Store purchases must be directed to Apple.

Except where required by law, fees are non-refundable once a billing period has started. We may change pricing with reasonable notice; changes apply to subsequent billing periods.

The iOS app may be used without a subscription subject to feature limits described in the app or on our website — for example, local recording without automatic cloud upload. Free-tier limits may change.

The Service integrates with third parties such as Firebase, Mux, Stripe, Google, and Apple. Your use of those integrations may be subject to their separate terms. We are not responsible for third-party services outside our control.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMPLEVIDZ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMPLEVIDZ AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

You will defend and indemnify SimpleVidz against claims, damages, and expenses (including reasonable attorneys' fees) arising from your Customer Content, your releases and filming practices, or your violation of these Terms or applicable law.

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the Service. Upon termination, your right to use the Service ends, but sections that by nature should survive (such as content licenses already granted, disclaimers, and limitations of liability) will survive.

We may modify these Terms or the Service. We will post updated Terms on this page and update the "Last updated" date. Material changes may also be communicated by email or in-product notice. Continued use after changes take effect constitutes acceptance.

These Terms are governed by the laws of the United States, without regard to conflict-of-law rules. Any dispute arising from these Terms or the Service will be brought in the federal or state courts located in the United States, and you consent to their jurisdiction.
